## Board Approval and Legal Framework

On September 2, 2026, the board of Maple Leaf Cement Factory Limited (PSX: MLCF) approved a scheme of merger with Pioneer Cement Limited (PSX: PIOC). The approval was given under Sections 279 to 283 of the Companies Act, 2017, and will require further shareholder endorsement as well as clearance from the Lahore High Court and other regulatory bodies.

## Structure of the Merger

The proposed arrangement calls for the full transfer of Pioneer Cement’s assets, liabilities, rights, and obligations to Maple Leaf Cement. Pioneer Cement shareholders will receive a total of 136.17 million ordinary shares of Maple Leaf Cement, based on a swap ratio of 2.65 Maple Leaf shares for each Pioneer share held by eligible investors.

## Post‑Merger Outcomes

Upon completion, Pioneer Cement will be dissolved without a winding‑up process, and all its outstanding shares—including those held by Maple Leaf Cement itself—will be cancelled. A joint petition outlining the scheme will be filed with the Lahore High Court in due course, with an effective date set for July 1, 2026.

## Market Implications

The consolidation creates a larger, more competitive cement entity in Pakistan, potentially improving economies of scale, enhancing market share, and strengthening balance sheets. Investors will be watching the shareholder vote and regulatory approvals closely.
